GENERAL TERMS AND CONDITIONS OF SALE
Terms of Agreement
Order of Precedence This Agreement contains the only terms which govern the purchase by Gtrade LLC, DBA Crane Depot or its affiliates, or by Gtrade LLC, DBA Crane Depot on behalf of its affiliates, of Product described on Purchase Orders and sold by Supplier. Gtrade LLC, DBA Crane Depot and Supplier are sometimes herein referred to singly as "Party" or collectively as "Parties." This Agreement supersedes all previous and contemporaneous agreements and understandings between the Parties. The Parties intend for the express terms and conditions contained in this Agreement to exclusively govern and control each of the Parties' respective rights and obligations regarding the manufacture, purchase and sale of the goods and/or services, as described in a Purchase Order, sourcing agreement, or statement of work (hereinafter referred to as "Products" or "Services," as applicable), and the Parties' agreement is expressly limited to such terms and conditions. Notwithstanding the foregoing, if any terms and conditions contained in a Purchase Order conflict with any terms and conditions contained in this Agreement, the applicable term or condition of this Agreement will prevail and such contrary or different terms will have no force or effect. Except for such contrary or different terms, the terms and conditions of all Purchase Orders are incorporated by reference into this Agreement for all applicable purposes hereunder. Without limitation of anything contained in this paragraph, any additional, contrary or different terms contained in any Confirmation or any of Supplier's invoices or other communications, and any other attempt to modify, supersede, supplement or otherwise alter this Agreement, are deemed rejected by Buyer and will not modify this Agreement or be binding on the Parties unless such terms have been fully approved in a signed writing by authorized representatives of both Parties. Notwithstanding anything herein to the contrary, if a written contract signed by both parties is in existence covering the sale of the Products and/or Services covered herein, the terms and conditions of such contract shall govern this transaction.
Limitations of Liability
In no event shall Gtrade LLC, DBA Crane Depot ("Crane Depot") or any of its subsidiaries or affiliates be liable for any indirect, special, incidental or consequential damages including but not limited to loss of use, loss of data, loss of business or profits.
Prices
Prices are subject to change without notice. Crane Depot is not responsible for typographical errors or pricing errors.

Warranty Limitations
Except as specifically set forth therein, Crane Depot makes no warranties, express or implied, and disclaims all other warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, and conformity to models or samples. Crane Depot is a distributor and does not warranty items. Warranties may be provided by certain manufacturers and may differ depending on the manufacturer. Manufacturers' warranties for exported products may vary or may be null and void for products exported outside the United States.
Payment Terms
Terms of payment are within Crane Depot's sole discretion, and unless otherwise agreed to by Crane Depot, payment must be received by Crane Depot prior to Crane Depot's acceptance of an order. Payment for the products will be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Crane Depot. Invoices are due and payable within the time period noted on the invoice, measured from the date of the invoice. Crane Depot may invoice parts of an order separately. Orders are not binding until accepted by Crane Depot. Any quotations given by Crane Depot will be valid for the period stated on the quotation. Interest will be charged on past due accounts and in the event we have to proceed to collections for failure to pay, the collection costs incurred will be added to the invoice and charges to customer. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.
Title/Risk of Loss
Title to products and risk of loss passes from Crane Depot to you upon delivery to the carrier.
Amendments/Applicable Law
These terms and conditions may be amended at any time by Crane Depot The laws of the State of Texas shall govern these Terms and Conditions.
